Terms of Service

These terms are an agreement between you and Oriole Voice (“we”, “us”). By downloading or using the app, or by subscribing to Pro, you agree to them. If you don’t agree, don’t use Oriole Voice. The Privacy Policy explains what the app and Pro do with your information.

1. Who can use Oriole Voice

You must be at least 18 years old to use Oriole Voice or subscribe to Pro.

2. The app

You may use Oriole Voice on Macs you own or control. Where its source code is published, that code is also available under the license published with it. These terms still cover your use of Pro and of our server.

3. Pro

Pro is a subscription billed monthly or yearly by Polar, our merchant of record, which handles payment, sales tax, and receipts. It renews until you cancel. You can cancel at any time through Polar, and Pro stays active until the end of the period you paid for. We don’t refund partial periods, with one exception: if we discontinue Pro, we refund the unused part of your current period.

We may change the price. A new price applies from your first renewal after we tell you about it, and you can cancel before then.

Your license key is for you. Don’t share or resell it, and don’t use our server other than through the app. We may suspend a key that is shared or abused.

4. Recording other people

Oriole Voice can record meetings, including other people’s voices. Many places require the consent of everyone on a call before it is recorded. You are solely responsible for telling participants that you are recording, for getting any consent the law requires, and for following the recording, wiretapping, and privacy laws that apply to you and to them. Don’t use Oriole Voice to record anyone unlawfully.

5. AI output

Cleaned dictation and meeting notes are written by AI models. They can be wrong, leave things out, or attribute words to the wrong person. Review them before you rely on them or send them. Your original transcript is always kept.

6. Your content

Your recordings, transcripts, notes, and dictations are yours. We claim no rights in them. When you use Pro, you permit us to process your text only to return the result to you, as the Privacy Policy describes.

7. Acceptable use

Don’t use Oriole Voice to break the law or infringe anyone’s rights. Don’t interfere with our server, get around its limits, or try to extract its prompts.

8. No warranty

Oriole Voice and Pro are provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t promise that the app or Pro will be uninterrupted or error-free, or that transcripts, cleanup, or notes will be accurate.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost data, recordings, or profits, arising from Oriole Voice or Pro. Our total liability for any claim relating to them is limited to the amount you paid us in the 12 months before the claim, or $50 if you paid nothing. Where the law does not allow these limits, they apply as far as it does.

10. Indemnity

If someone brings a claim against us because you recorded them without the consent the law requires, or because you broke these terms, you agree to cover our reasonable costs of that claim, including legal fees.

11. Ending

You can stop using Oriole Voice at any time. We may suspend or end your Pro access if you break these terms. Sections 4, 8, 9, 10, 12, and 13 continue after these terms end.

12. Disputes: arbitration, no class actions

Talk to us first. Before starting any claim, email hello@oriolevoice.com with your name, what went wrong, and what you want. We will try to resolve it within 60 days, and neither of us will start arbitration or a lawsuit before then.

Arbitration. If we can’t resolve it, any dispute between you and us about Oriole Voice, Pro, or these terms will be settled by binding individual arbitration, not in court. The American Arbitration Association (AAA) runs it under its Consumer Arbitration Rules, and fees follow those rules, which limit what you pay. The Federal Arbitration Act governs this section. The arbitration can be held by video, by phone, or on written submissions, or in person in the county where you live. The arbitrator can award you the same individual relief a court could.

Exceptions. Either of us may bring an individual claim in small-claims court if it qualifies there. Either of us may ask a court to stop misuse of our server or infringement of intellectual property.

No class actions. You and we may each bring claims only individually, never as a plaintiff or class member in a class, collective, consolidated, or representative action, and the arbitrator may not combine more than one person’s claims. If this class-action waiver is found unenforceable for a particular claim, that claim goes to court instead of arbitration, and the rest of this section still applies.

No jury. If a claim goes to court, you and we both waive the right to a jury trial.

Opting out. You can opt out of this section by emailing hello@oriolevoice.com within 30 days of first agreeing to these terms, with your name and the words “arbitration opt-out”. Opting out doesn’t change the rest of these terms.

Changes to this section. A change to this section doesn’t apply to a dispute we already knew about before the change.

13. Governing law

New York law governs these terms, without regard to its conflict-of-law rules, except that the Federal Arbitration Act governs Section 12. A claim that goes to court under Section 12 goes to the state or federal courts in New York County, New York.

14. Changes

We may update these terms. The new version will be posted here with a new effective date, and we will email Pro subscribers about a material change before it takes effect. If you keep using Oriole Voice after that, the new terms apply.
